1. Acceptance of Terms

By accessing or using BidIQ+ ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. The Service is operated by Phoenix Synergy Systems LLC.

2. Description of Service

BidIQ+ is a SaaS application that helps government contractors evaluate Requests for Proposals (RFPs) against their company capabilities. The Service uses AI to extract capability profiles from uploaded documents, score RFP suitability across multiple dimensions, and generate draft proposal content.

3. Accounts & Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate information during registration. You must be at least 18 years old to use the Service.

4. Subscription & Billing

The Service offers a free trial (3 grades, 1 proposal) and paid subscription plans. Paid plans are billed monthly via Stripe. You may cancel at any time through the Settings page or Stripe billing portal. Refunds are handled on a case-by-case basis. Plan limits reset at the beginning of each billing period.

5. Your Content

You retain all rights to documents you upload (capability statements, RFPs). By uploading content, you grant us a limited license to process it through our AI pipeline for the sole purpose of providing the Service. We do not claim ownership of your content and will not use it for purposes other than delivering the Service to you.

6. AI-Generated Content Disclaimer

RFP grades, scores, recommendations, and proposal drafts are generated by AI and are provided for informational purposes only. They do not constitute professional advice. You are solely responsible for reviewing, editing, and verifying all AI-generated content before submitting any proposal to a government agency. We make no guarantees about the accuracy, completeness, or competitiveness of AI-generated content.

7. Prohibited Uses

You may not use the Service to submit fraudulent proposals, misrepresent your company's capabilities to government agencies, violate any applicable procurement laws or regulations, reverse-engineer or attempt to extract the AI models or algorithms used by the Service, or share your account with unauthorized users.

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. We are not liable for any damages arising from your use of the Service, including but not limited to lost contracts, lost revenue, or inaccurate AI-generated content. Our total liability is limited to the amount you have paid for the Service in the 12 months preceding the claim.

9. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time by contacting us. Upon termination, your data will be deleted within 30 days unless required by law to be retained.

10. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes constitutes acceptance of the updated terms.
